Can a non-US resident form a US company?

Yes. Non-US residents can legally form an LLC or corporation in the United States. No US address, Social Security Number, or physical presence in the US is required. Wyoming, Delaware, and New Mexico are the most popular states for non-residents due to low costs, privacy protections, and minimal annual requirements.

What is the best state to form a US company as a non-resident?

Wyoming and Delaware are the top choices for non-residents. Wyoming has no state income tax, strong privacy protections, low annual fees, and a $100 filing fee. Delaware has a well-developed legal system preferred by investors and a $90 filing fee. New Mexico requires no annual report, making it the lowest-maintenance option with a ~$50 filing fee. The best choice depends on your business goals and whether you plan to seek outside investment.

What is the difference between an LLC and a corporation?

An LLC (Limited Liability Company) offers flexibility, fewer formalities, and pass-through taxation — meaning the company itself is not taxed federally; income passes to the owner. A corporation (C-Corp or S-Corp) has a more formal structure with shareholders, directors, and the ability to issue stock — making it preferred for startups seeking venture capital. For most small businesses and non-residents, an LLC is simpler and more cost-effective.

Do I need a US address or physical presence to form a US company?

Professor Inc provides registered agent service in all 50 states.

What is a registered agent?

A registered agent is a US-based person or company designated to receive official government correspondence, legal notices, and service of process on behalf of your business. Every US LLC and corporation is required by state law to maintain a registered agent with a physical street address in the state where the company is formed. Professor Inc offers first-year registered agent service as an optional $99 add-on.

What is an EIN and do I need one as a non-resident?

An EIN (Employer Identification Number), also called a Federal Tax ID, is a number assigned by the IRS to identify your business for tax purposes. Non-residents typically need an EIN to open a US business bank account, hire employees, or file US tax returns. Professor Inc can obtain your EIN from the IRS on your behalf for $49.

How long does it take to form a US company?

Most US state filings process within 1 to 5 business days, depending on the state and current processing times. Some states offer expedited processing for an additional fee. Professor Inc's voice-guided wizard collects your information in minutes and then handles the filing with the state on your behalf.
